Corporate and Commercial Law
The Law Department provides commercial law advice to companies operating in industries as diverse as Logistics, Retail, IT and Franchising.
We attract work from a wide variety of clients from small start-ups, growing and midsized businesses through to large publicly quoted plcs.
We have recently advised on the following areas.:-
| • |
Drafting and negotiating commercial contracts, outsourcing agreements, franchise agreements, distribution agreements, IT licencing agreements, standard terms and conditions and leasing agreements. |
| • |
Advising on Mergers, Acquisitions, Share sales and purchases, asset sales and purchase and corporate restructuring. |
| • |
Advising boards and senior management on legal and reputational risks. |
| • |
Serving as outside general counsel. |
| • |
Responding to tenders to ensure response is legally and commercially resilient. |
| • |
Assessing liability with existing contracts and taking steps to minimise exposure. |
If your company is undergoing some sort of merger or acquisition activity, or taking on new business or suppliers you will no doubt involve corporate finance and legal specialists.
The Law Department can guide you through the transaction, giving you an idea of what to expect and how to prepare yourself for the event. Corporate transactions can be demanding on management time, and we can take the burden off your hands so you can continue to run your business effectively.
Furthermore, in anticipation of such an event The Law Department can carry out a "health-check" on your business to ensure that you have all the necessary documents, terms and conditions and contracts in place so that when you are scrutinised by a third party (for example through due diligence) you can minimise the risk of any discounting on the value of your business through lack of proper documentation.
